| 摘 要： | 社保基金为了应对人口老龄化所导致的社保资金缺口的压力,其本身的商业化运作乃是大势所趋;社保基金作为我国股市中的重要机构投资者,参与上市公司的治理有着现实的可能性与必要性;当然,基于我国的现实情况和现代化公司制度的理念,社保基金参与上市公司治理的程度需要合理把握,其参与上市公司治理的途径目前应限定在信息披露项下为宜。

| Abstract: | The commercialization operation of social insurance fund is inevitable because of the burden of fund pressure. Social insur-ance fund,as an important institutional investor in stock market,is possible and necessary to participate into the governance of listed companies. Based on the reality of our country and the conceptions of modern company system,the extent of participation should be reasonable and the way should be defined in information disclosure. |
