监控公司行为的优化协议模型

所有权与经营权分离的股份制企业是代理理论研究的主要内容之一．从代理理论角度出发，讨论了股份制企业委托人－代理人的优化协议问题，并利用规划论的方法，建立了基于对称信息和不对称信息的两类优化协议模型．进一步地对这两类模型中的委托人和代理人之间的冲突问题进行了分析，举例说明了模型的结果及其经济意义，从而提供了在一定条件下解决委托人－代理人之间冲突的有效方法．文中还对股份制企业的委托代理关系进行了探讨，为我国股份制企业的健康发展提供了一定的理论依据．

Optimal Contract Models for Monitoring Company Behavior

Based on the agency theory, this paper discusses the issue of optimal contracts between principal and agent of a company. Two types of optimal contracts models are established on the basis of symmetrical and asymmetrical information respectively. Also, the conflicts between principal and agent are analyzed in the models, and the results are examined. Therefore, an effective method of solving the conflicts is provided under certain circumstances. The discussion of the agency relationship in this paper is helpful to the development of the share capital companies in our country.
