一人公司债权人利益保护的法律规制

一人公司是有限责任公司的特殊形态，为防止一个公司滥用股东权利和有限责任，新《公司法》初步建立了一人公司的资本注册要求、转投资限制、财务审计、公司人格否定等制度。但是，为保护债权人的利益，在此基础上，必须从严和明确一人公司货币出资制度，完善其法人人格否定、治理结构、信用体系以及信息公开披露制度。

Legal regulations of protecting creditors' interests in one-person companies

One-person company is a special form of limited liability company. In order to prevent an abuse of shareholder rights and limited liability, the new Company Law initially establishes the systems of one-person eompany＇s capital registration requirements, investment restrictions, financial auditing, personality denial and so on. However, in order to protect the interests of creditors, on this basis, we must clarify the system of one-person company money contributions and improve its corporate personality denial, governance structure, credit system and information disclosure systems.
