| 摘 要： | 管理层收购是一项高风险、高智力要求的资本运营活动，因此在其从制订收购计划到完成企业整合的整个探作过程中，都面临着大量的不确定因素，这些不确定因素常常会给管理者及其他参与者带来巨大的风险；文章对影响财务风险的主要因素进行了分析，提出管理层收购如何防范财务风险的措施。

| Abstract: | MBO is a capital operating activity with the requirements of high risk and high intelligence, so in its whole operation course from the working out of the purchasing plan to the integration of enterprises, MBO is facing large quantity of nondeterministic factors that often bring about huge risks to the managers and other participators. This paper makes analysis on the main factors influencing the financial risks, and puts forward some measures for preventing the financial risks of MBO. |
