试论证券市场虚假陈述民事赔偿的法律问题

虚假陈述由来已久,现代社会的证券市场更有不少的虚假陈述现象存在.近期出台的最高法院关于虚假陈述民事赔偿的司法解释对虚假陈述的认定及赔偿作了详细规定,但仍存在一些缺陷,尤其是关于虚假陈述与损害结果的因果关系认定方面存在一些遗漏.本文在此基础上提出一些完善的建议.

文章基于无套利且完备的单时段市场,在初始财富不能复制给定未定权益的假设下,探讨了最大概率复制策略、最小亏空复制策略以及在给定概率约束下的最小亏空复制策略的存在性。     

公务员腐败因素实证研究

测量腐败指数的指标可以归纳为5个主成分,它们依重要性分别是私欲膨胀、团伙腐败、隐蔽欺骗、实用享受、文化积弊。而通过构建腐败指数对公务员的腐败因素进行定量实证研究,得出的结果是:我国公务员腐败现象比较严重。政府确实需要大力加强先进性教育。     

The Physical Tourist

I provide a tour of Madrid, focusing especially on physical institutions that were created during the 19th and 20th centuries.These include the Astronomical Observatory close to the Prado Museum, which itself was conceived as a home for the Royal Academy of Sciences but became instead a world-famous art museum in 1819, leaving the Royal Academy of Sciences without a permanent home until 1866.The Laboratory of Physical Researches was created in 1910, and under the direction of Blas Cabrera (1878–1945), who also held a professorship at the Universidad Central, it fostered most of the Spanish research in physics at the time, in particular the famous spectroscopic researches of Miguel A. Catalán (1894–1957). Nearby were the so-called Transatlantico building and the Students’ Residence where Albert Einstein (1879–1955), for example, lectured in 1923, and which together continue to serve as a major cultural center in Madrid. Later, the physical laboratory was replaced by the National Institute of Physics and Chemistry, which was constructed with funds from the Rockefeller Foundation and inaugurated in 1932. A new University City with its Faculty of Sciences also was constructed on the northwestern outskirts of Madrid, but almost all of its buildings were totally destroyed during the devastating Spanish Civil War of 1936–1939. It was reconstructed after the war and became home, for example, to Spain’s first nuclear reactor, which achieved criticality in 1958.

在温州农村地区,"呈会"依然是一个大量存在的现象,是温州农村民间信用的主要形式之一.通过理性选择理论的视角,运用组织社会学理论的分析框架,从宏观和微观两个层次出发,对"会"存在的可能性进行分析,并从组织成员构成、组织规范和群体角色等方面探讨了"会"的结构,以利息和信息沟通方式为标准区分不同类型的"会",阐述"会"的正功能、负功能与潜功能.     

跳跃扩散型汇率过程的外汇期权定价

在完全外汇市场环境下 ,讨论了外汇汇率过程受 Brown运动和 Poisson过程共同驱动时外汇欧式未定权益的定价问题 ,并在常系数情形下获得了欧式外汇期权 Black- Scholes定价公式及其套期保值策略 ,最后给出了一种多汇率过程的线性组合式未定权益的定价     

Mismatch Negativity and Stimulus-Preceding Negativity in Paradigms of Increasing Auditory Complexity: A Possible Role in Predictive Coding

The auditory mismatch negativity (MMN) has been considered a preattentive index of auditory processing and/or a signature of prediction error computation. This study tries to demonstrate the presence of an MMN to deviant trials included in complex auditory stimuli sequences, and its possible relationship to predictive coding. Additionally, the transfer of information between trials is expected to be represented by stimulus-preceding negativity (SPN), which would possibly fit the predictive coding framework. To accomplish these objectives, the EEG of 31 subjects was recorded during an auditory paradigm in which trials composed of stimulus sequences with increasing or decreasing frequencies were intermingled with deviant trials presenting an unexpected ending. Our results showed the presence of an MMN in response to deviant trials. An SPN appeared during the intertrial interval and its amplitude was reduced in response to deviant trials. The presence of an MMN in complex sequences of sounds and the generation of an SPN component, with different amplitudes in deviant and standard trials, would support the predictive coding framework.     

中国加入世界贸易组织必须完善民法制度

中国加入世界贸易组织成为其中一员，必须接受其规则，这是中国对该组织各员国应履行的国际义务。中国现行的民法与世界贸易组织的规则大体上是相通的，但是由于历史的原因还存在着很大差距。因此必须在民事主体制度、物权制度、合同制度、知识产权制度等方面进一步修改，完善，以适应其要求。     

上证A股公司或有事项信息披露分析

随着企业规模扩大,企业业务活动的多样化和复杂化,或有事项作为影响企业经营和发展的潜在因素已经存在于多项交易和事项中．截止2013年10月,在上海证券交易所挂牌上市的A股公司共941家,本文随机选取30家上市公司,对其2011年、2012年财务报告中或有事项披露进行了分析．从披露比例、披露及时性、披露完整性、披露规范性等方面找出存在的问题,在分析原因的基础上提出了完善或有事项信息披露的相关建议．
