浅议我国的管理者收购（MBO）

20世纪末，我国一些企业开始实施MBO，但效果都不尽如人意。简述了管理者收购(MBO)的含义，重点分析了管理者收购的特征以及现阶段我国企业实施MBO的障碍，从而得出目前我国企业不宜实施MBO的结论。     

高校企业股份制改造的路径——引入MBO

随着我国经济的迅速发展,科技创新能力的竞争已成为企业发展的核心力竞争,经济环境的变化使高校企业在创业和发展环境上都发生了巨大的变化。高校企业在高校这个事业单位的特殊环境里,事业型的“人际化”管理模式和运行机制,不再适应市场经济发展的规律,因此,高校企业在科技成果转化和企业成长上都面临着严峻的挑战。高校企业如何退出事业型的管理模式,建立现代企业制度,完成股份制改造,是高校科技成果转化和企业发展管理中所面临的共性问题,而解决这些问题的有效途径则是在高校企业中引入MBO。

介绍了我国国有企业产权现状及MBO的概念,结合具体案例探讨了MBO方式国有企业产权改革,并提出了建议。

上市公司管理层收购的一个根本问题即融资问题。本文通过分析已实施的MBO案例,就管理层收购融资的作用、存在问题进行了一定的分析,进而对规范此问题提出了几点建议。

Comparison of the adsorption orientation for 2-mercaptobenzothiazole and 2-mercaptobenzoxazole by SERS spectroscopy

In this study, the adsorption orientation for 2-mercaptobenzothiazole (MBT) and 2-mercaptobenzoxazole (MBO) on to silver mirror and silver sol substrates have been studied by surface enhanced Raman scattering (SERS). The MBT and MBO were chemisorbed on both silver mirror and silver sol after deprotonation with a tilted orientation to the silver surfaces. The surface enhanced properties of MBT and MBO showed that the substrate of silver mirror was superior to the sliver sol. The SERS spectra of MBT and MBO revealed that both of the MBT and MBO were adsorbed on silver surfaces strongly by a common sulfur molecule and a sulfur atom from MBT and an oxygen atom from MBO. Therefore, the adsorption orientation of MBT and MBO was little tilted perpendicularly to the silver surfaces. The adsorption geometry did not undergo any significant changes in acidic and basic solutions. It showed that the adsorption orientation for MBT and MBO were stable in the both solutions.     

我国企业管理层收购（MBO）实践探析

近年来,我国企业管理层收购还存在许多问题,要处理好这些问题,必须做到：对企业实施MBO进行充分论证;创新融资工具,拓宽融资渠道;完善信息披露制度;引入外部收购者参与竞争;制订完善法律制度;合理确定收购价格;进一步完善对MBO企业的监管。     

Diffuse interface methods for multiclass segmentation of high-dimensional data

We present two graph-based algorithms for multiclass segmentation of high-dimensional data, motivated by the binary diffuse interface model. One algorithm generalizes Ginzburg–Landau (GL) functional minimization on graphs to the Gibbs simplex. The other algorithm uses a reduction of GL minimization, based on the Merriman–Bence–Osher scheme for motion by mean curvature. These yield accurate and efficient algorithms for semi-supervised learning. Our algorithms outperform existing methods, including supervised learning approaches, on the benchmark datasets that we used. We refer to Garcia-Cardona (2014) for a more detailed illustration of the methods, as well as different experimental examples.     

MBO本土化的效用与风险浅析

在旧有的计划经济体制下,国有企业所有者缺位、委托代理成本极高。引入股权激励机制对规范我国国企的治理结构、充分调动经营者的积极性、改变激励机制现状等方面有着重要意义。近年来,我国企业学习外国企业实施管理层收购的成功经验及教训,努力在实践中探索符合中国实际并行之有效的管理层股权激励机制,管理层收购成为了我国政府和企业共同关心的问题。笔者简述了我国MBO进程及现状,并探讨了其中存在的问题。

管理层收购是一项高风险、高智力要求的资本运营活动，因此在其从制订收购计划到完成企业整合的整个探作过程中，都面临着大量的不确定因素，这些不确定因素常常会给管理者及其他参与者带来巨大的风险；文章对影响财务风险的主要因素进行了分析，提出管理层收购如何防范财务风险的措施。
